1. About these terms
These terms apply when you use this website or buy services from POWER BOX TECHNOLOGIES LTD, a company registered in England and Wales under company number 16480924, with its registered office at 14 Warwick Road, Liverpool, L36 1UU (“we”, “us”, “our”).
In these terms, a “business customer” buys for purposes related to their trade, business or profession, and a “consumer” is an individual buying mainly for personal purposes. Some sections apply differently to each, and we say where they do.
2. Our services
We provide:
- AI business automation: tailored automation, workflow optimisation, CRM integration, automated reporting and lead management, with ongoing support, monitoring, maintenance and agreed improvements.
- Dedicated software development: an agreed monthly allocation of development resources for custom software, web application enhancements, integrations, testing, bug fixes, optimisation and maintenance.
- Business software as a service (SaaS): subscription access to our cloud business software and related support.
Each plan’s page describes what it includes. Where we agree a written proposal or statement of work with you, that document defines the scope and takes priority over the plan description if they differ.
3. Placing an order
You order through Stripe’s secure checkout. Our contract with you starts when your payment is confirmed and Stripe sends your receipt. We may decline an order, for example if a plan is listed in error or we can’t provide the service. If we decline, we refund any payment in full.
4. Prices and payment
- Prices are shown in pounds sterling (GBP) on the plan page and at checkout.
- Subscriptions are billed in advance, on the same date each billing period, to the card you used at checkout.
- If a payment fails, we’ll let you know. If it remains unpaid for 14 days, we may suspend the service until payment is made.
- We may change subscription prices with at least 30 days’ written notice. If you don’t accept a change, you can cancel before it takes effect.
5. Subscriptions, renewal and cancellation
Subscriptions renew automatically at the end of each billing period until cancelled. You can cancel at any time by emailing info@powerboxtechnologies.diy. Cancellation takes effect at the end of your current billing period, and you won’t be charged again. Unless a plan states a minimum term, there is none.
Refunds are covered by our Refund Policy, which forms part of these terms.
6. Delivering the services
- We contact you within one working day of your order to arrange a scoping session.
- Timelines we give are good-faith estimates. We’ll keep you updated if anything changes.
- Development allocations apply to the billing period they are paid for and do not roll over unless your plan says so.
- Work outside your plan’s scope is quoted in writing before it starts.
- We perform all services with reasonable care and skill.
7. Your responsibilities
To let us deliver the services, you agree to give us accurate information and timely access to the systems and accounts we need, to hold valid licences for any third-party software you ask us to work with, to keep your own login details secure, and to use our services lawfully. Delays caused by missing access or information may affect timelines.
8. Use of our software platform
While your SaaS subscription is active, we grant you a non-exclusive, non-transferable right for your authorised users to use our platform for your internal business purposes. You must not resell it, copy or reverse engineer it, upload unlawful or harmful content, or try to bypass its security.
We aim to keep the platform available at all times but don’t guarantee uninterrupted service. We may carry out maintenance and release updates, and we’ll give reasonable notice of planned downtime where we can.
9. Intellectual property
We keep ownership of our platform, tools, know-how and any reusable components that existed before our work for you or that we develop for general use.
Once you have paid in full, the bespoke code, automations and configurations we create specifically for you belong to you. Where they include our reusable components, we grant you a perpetual licence to use those components as part of your deliverables.
10. Confidentiality and data protection
We each keep the other’s confidential information private and use it only to perform this contract. We process personal data in line with our Privacy Policy. Where we process personal data on your behalf, we do so as your processor, only on your documented instructions and in line with UK GDPR.
11. Third-party services
Our services often connect to third-party tools such as CRMs, accounting software and email platforms. Those tools are governed by their own terms. We aren’t responsible for their outages, pricing or changes, but we’ll help you adapt when they affect your systems.
12. Our liability
Nothing in these terms limits our liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot be limited by law.
Business customers: we are not liable for loss of profits, revenue, business, goodwill or data, or for any indirect or consequential loss. Our total liability under each contract is limited to the fees you paid us in the 12 months before the claim arose.
Consumers: we are responsible for loss you suffer that is a foreseeable result of our breach of these terms or our failure to use reasonable care and skill. We are not responsible for business losses.
13. Suspension and termination
Either of us may end the contract immediately by written notice if the other seriously breaches these terms and doesn’t fix the breach within 14 days of being asked. We may also suspend services for unpaid fees as set out in section 4. When the contract ends, platform access stops and you may request an export of your data within 30 days.
14. Your statutory rights
If you are a consumer, nothing in these terms affects your rights under the Consumer Rights Act 2015 or the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, including your right to cancel within 14 days as described in our Refund Policy.
15. Changes to these terms
We may update these terms from time to time. Changes apply to new orders and, for existing subscriptions, from the next billing period after we give you at least 30 days’ notice.
16. Governing law
These terms are governed by the law of England and Wales, and the courts of England and Wales have jurisdiction. If you are a consumer living in Scotland or Northern Ireland, you may also bring proceedings in your local courts.
